Thursday, February 16, 2017 12:00pm - 1:30pm EST
Host: NCMA

All contract professionals should be well-versed in the principles of contract interpretation, especially since disputes in this area are the most frequent source of contract litigation. This webinar will examine key preliminary considerations to interpretation, the process of contract interpretation, and the principles that apply to the words of the contract and to information from outside the contract—such as the “Plain Meaning Rule” and the doctrine of contra proferentem (including its federal exception, the “patent ambiguity exception” and its “duty to inquire”).

Key Take-Aways:

  • Contract interpretation is a critical skill for all acquisition professionals—not just lawyers,
  • The principles of interpretation,
  • The judicial process for interpreting a contract,
  • The key issues that precede interpretation,
  • The principles that apply to only the words of the contract,
  • The principles that apply only to matters outside the contract, and
  • How courts resolve ambiguous contracts.
